All interactive entertainment products developed, operated, and published by us (hereinafter the "Games");
Any software, applications, content, updates, and features associated with our Games and Websites (collectively, the "Software"); and
Our official community forums, social media channels, customer support, and all related communication platforms (collectively, the "Community Platforms").
We refer to all the foregoing items collectively as the "Services."
By accessing, browsing, downloading, installing, registering for, or otherwise using our Services in any manner, you acknowledge that you have read, understood, and agree to be unconditionally bound by all the terms and conditions of this Covenant. Chapter 1: Definitions and Interpretations
To ensure clarity and precision within this Covenant, we define the following key terms. These definitions form an integral part of this agreement.
1.1. Account:
Refers to the unique authorization credential you create to access and use certain core features of our Services, particularly the Games. The Account is associated with your personal information and a record of all your activities within the Services. You are solely responsible for all activities that occur under your Account.
1.2. Digital Realm:
An all-encompassing term referring to the aggregate of all virtual environments created and operated by CODESTORM, including but not limited to the game worlds, Community Platforms, and all associated digital spaces.
1.3. Intellectual Property:
Refers to all legally protected intangible assets, including but not limited to copyrights, trademarks, service marks, trade dress, patents, trade secrets, know-how, and all source code, object code, graphic designs, user interfaces, visual effects, characters, stories, music, sound effects, text, data, and all other content associated with our Services.
1.4. Code of Conduct:
Refers to the set of rules and standards, detailed within this Covenant, that all users must adhere to when using the Services. Its purpose is to maintain a healthy, fair, and respectful community environment.
1.5. User-Generated Content (UGC):
Refers to any form of content that you create, upload, post, share, or transmit while using our Services, through tools or features provided by the Services. This may include, without limitation, chat text, forum posts, custom avatars, in-game creations, video clips, and livestream content.
1.6. Virtual Items:
Refers to all digital content, features, or functionalities that exist within our Games. These may include, but are not limited to, game characters, equipment, cosmetic skins, consumables, access passes, special privileges, points, service credits, or other digital entitlements. These Virtual Items are part of the Service and do not constitute your personal property.
1.7. Platform:
Refers to the third-party digital distribution services used to distribute, access, and run our Services, such as Steam for PC, or the Apple App Store and Google Play for mobile devices. Your use of these Platforms is also subject to their respective terms of service.
1.8. Developer:
Refers to CODESTORM INTERACTIVE LIMITED as the creator, operator, and owner of the Intellectual Property of all Services.
Chapter 2: License to Use the Services
2.1. Grant of a Limited License:
Subject to your full and ongoing compliance with this Covenant, CODESTORM grants you a personal, non-commercial, non-transferable, non-exclusive, revocable, limited license to access and use our Services solely for your own personal entertainment purposes. This license is strictly limited to the scope explicitly authorized by this Covenant. All rights not expressly granted to you herein are reserved by CODESTORM.
2.2. License Restrictions and Prohibited Conduct:
You expressly agree that you will not, under any circumstances, do any of the following:
Commercial Use:
Use our Services or any part thereof for any commercial purpose, including but not limited to: (a) providing the Services at a commercial establishment (e.g., an internet cafe); (b) selling, leasing, renting, or otherwise transferring your Account or access to the Services; or (c) gathering or exploiting information within the Services for commercial activities that compete with CODESTORM.
Modification and Reverse Engineering:
Copy, modify, adapt, translate, decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code or underlying structure of our Services (including the Software).
Data Mining:
Use any unauthorized program or tool (such as 'bots', 'crawlers', or 'offline readers') to intercept, mine, or otherwise collect information from or through the Services.
Disruptive Activities:
Create, use, or distribute any software, viruses, malicious code, or programs designed to disrupt, interfere with, damage, or otherwise adversely affect the Services, any computer, or network.
Circumvention of Security Measures:
Attempt to probe, scan, or test the vulnerability of our Services, systems, or network, or to breach any security or authentication measures.
2.3. Service Availability and Modifications:
We do not guarantee that the Services will be available at all times, at any given time, or at any given geographic location, nor do we guarantee that the Services will be uninterrupted or error-free. We reserve the right to modify, suspend, or terminate parts or all of the Services at any time for any reason (including, without limitation, for technical, maintenance, legal, or business reasons), with or without notice to you. CODESTORM shall not be liable for any inconvenience or loss resulting from any modification, suspension, or termination of the Services.
2.4. Third-Party Platforms and Services:
Our Services may be available through third-party Platforms or may contain links to third-party websites, content, or services. These third-party services are not under the control of CODESTORM, and we are not responsible for their content, privacy policies, or practices. Your interactions with any third party are solely between you and that third party, and you should review and comply with their terms and policies.
Chapter 3: Your Account and Responsibilities
3.1. Account Creation:
To access the core features of our Services, you may be required to create an Account. When creating an Account, you agree to provide accurate, current, and complete information and to promptly update such information to keep it accurate. Providing untrue or incomplete information may result in the suspension or termination of your Account.
3.2. Account Security:
You are solely responsible for maintaining the confidentiality of your Account credentials, including your username and password. You may not share your Account information with anyone. We strongly recommend using a unique and complex password and changing it regularly. If you suspect that your Account has been compromised or that there has been any breach of security, you must immediately notify us at [email protected].
3.3. Account Ownership:
You acknowledge and agree that you have no ownership or other property interest in your Account. Your Account and all rights associated with it (including all Virtual Items) are and shall forever be owned by CODESTORM. We grant you only a right to use the Account, subject to this Covenant.
3.4. Prohibition of Account Transfers:
Your Account is for your personal use only. The sale, purchase, gift, trade, or any other form of transfer of your Account is strictly prohibited. Any such attempt will be null and void and may result in the immediate termination of the Account.
3.5. Account Dormancy and Termination:
We reserve the right to suspend or terminate an Account that has been inactive for 180 consecutive days or more. Once an Account is terminated (whether initiated by you or by us), you will lose all access to that Account, as well as all associated data and Virtual Items, which cannot be restored, and you will not be entitled to any compensation.
Chapter 4: Community Code of Conduct
To maintain a digital realm that is safe, fair, and enjoyable for all players, you agree to strictly adhere to the following Code of Conduct when using our Services. Violations may result in warnings, temporary restrictions, Account suspension, or even permanent termination. CODESTORM reserves the right of final interpretation and judgment.
4.1. Respect and Inclusivity:
* You must treat all other players, community members, and CODESTORM employees with respect and civility. * Harassment, bullying, threats, abuse, defamation, personal attacks, or any other form of malicious behavior is strictly prohibited. * Discriminatory or hate speech based on race, ethnicity, national origin, religion, gender, sexual orientation, age, disability, or any other protected characteristic is strictly forbidden.
4.2. Communication Standards:
* You may not post, distribute, or link to any content that is illegal, harmful, obscene, pornographic, violent, offensive, or otherwise objectionable. * Posting spam, repetitive messages, advertisements, chain letters, or any other form of unauthorized commercial solicitation is prohibited. * You may not impersonate any other person or entity, including but not limited to CODESTORM employees or other players. * You may not disclose anyone's personally identifiable information (PII), including your own.
4.3. Fair Play:
* The use, development, or distribution of any unauthorized third-party software (cheats, hacks, scripts, etc.) to modify the game experience or gain an unfair advantage is strictly prohibited. * Exploiting any bug, glitch, or undocumented issue in the game design to gain an unfair advantage is forbidden. You are obligated to report such issues to us immediately upon discovery. * Collusion, griefing, intentionally losing matches, or manipulating game outcomes in any way that disrupts the fair experience of other players is prohibited.
4.4. Economic Conduct:
* It is strictly forbidden to use any real-world consideration (e.g., items, or services) to exchange, buy, sell, or trade any Account, Virtual Items, or other digital entitlements within our Services, outside of the official channels we provide. All acquisition of Virtual Items must occur through channels officially recognized and provided by CODESTORM. Any unauthorized transactions are strictly prohibited and may result in the immediate termination or wiping of the involved Accounts and Virtual Items.
4.5. Respect for Intellectual Property:
* You may not upload or distribute any content that infringes upon the intellectual property rights of a third party, including copyrights, trademarks, or patents.
Chapter 5: Intellectual Property & User-Generated Content
5.1. CODESTORM's Intellectual Property:
Our Services, including all Games, Software, Websites, characters, artwork, music, code, and all related materials, are the property of CODESTORM or its licensors and are rigorously protected by the intellectual property laws of Hong Kong and international treaties. Your use of the Services does not grant you any ownership of this Intellectual Property.
5.2. Ownership and Licensing of User-Generated Content (UGC):
* Your Ownership: To the extent your UGC contains original creative elements and does not infringe upon the Intellectual Property of CODESTORM or any third party, you retain ownership of those original parts. * License Grant to CODESTORM: By creating, submitting, posting, or otherwise making any UGC available on or through our Services, you hereby grant to CODESTORM a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, and transferable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your UGC in any and all media or formats, whether now known or hereafter developed, for any purpose whatsoever, including for commercial purposes, without any notice, attribution, or compensation to you. * Your Representations and Warranties: You represent and warrant that (a) your UGC is your original work, or you have obtained all necessary rights and licenses to grant us the license above; (b) your UGC does not infringe on the rights of any third party, including intellectual property rights, privacy rights, or rights of publicity; and (c) your UGC complies with the Code of Conduct in this Covenant.
5.3. Monitoring and Removal of UGC:
We are not obligated to monitor all UGC, but we reserve the right (though not the obligation), in our sole discretion, to review, monitor, edit, refuse, or remove any UGC, with or without notice, especially if we believe it violates this Covenant or is otherwise objectionable.
Chapter 6: Virtual Items & Digital Entitlements
6.1. Nature of Virtual Items:
You acknowledge and agree that all Virtual Items are part of a limited license granted to you for use solely within the Services. They have no real-world value, are not your personal property, and cannot be redeemed for any real-world consideration. You acquire only a right to use these Virtual Items, not ownership of them.
6.2. Acquiring Virtual Items & Final Sale:
You may acquire the right to use Virtual Items through in-game activities (such as completing quests or achieving milestones) or through other officially recognized channels provided by us. All sales are final. Unless otherwise required by mandatory applicable law, any fees you pay for the Services, including purchases of Virtual Items or digital entitlements, are non-refundable. You acknowledge that by purchasing or acquiring such items, you immediately consume the license to use them.
6.3. Management and Modification of Virtual Items:
To improve the Services or for reasons of game balance, technical necessity, or regulatory compliance, CODESTORM reserves the right, in its sole discretion, to manage, regulate, control, modify, or eliminate any Virtual Items at any time, without any liability to you. This may include adjusting the functionality, rarity, or acquisition methods of Virtual Items. If your Account is terminated or suspended, you will lose all Virtual Items associated with that Account.
Chapter 7: Disclaimers, Refund Policy & Limitation of Liability
7.1. AS IS AND AS AVAILABLE:
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CODESTORM EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THEIR OPERATION WILL BE SECURE, UNINTERRUPTED, ERROR-FREE, OR VIRUS-FREE.
7.2. No Refunds:
All sales are final and no refunds are provided. Unless otherwise mandated by mandatory applicable law, any fees paid by you for access to the Services, Virtual Items, or any other digital content are non-refundable. You hereby acknowledge and agree that you will not receive a refund for any fees paid for any reason, including, without limitation, your non-use of the Services, your dissatisfaction with the Services, or the suspension or termination of your Account (whether by you or by us for any reason). By making a purchase, you acknowledge that you are not entitled to any refund and waive any claim for any amounts paid to CODESTORM. Certain jurisdictions may provide you with specific statutory rights which are not affected by this clause.
7.3. Limitation of Liability:
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODESTORM, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF, OR INABILITY TO USE, OUR SERVICES, WHETHER SUCH CLAIMS ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CODESTORM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF CODESTORM ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE TOTAL AMOUNT (IF ANY) YOU HAVE PAID TO CODESTORM FOR ACCESS TO THE RELEVANT SERVICES IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
Chapter 8: Dispute Resolution & Governing Law
8.1. Governing Law:
This Covenant and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law principles.
8.2. Informal Dispute Resolution:
We hope to resolve any disagreements with you amicably. Before initiating any formal legal proceeding, you agree to first contact us by email at [email protected], describe your dispute in detail, and attempt to resolve it informally. We will have sixty (60) days from the receipt of your notice to try to resolve the dispute.
8.3. Binding Arbitration:
If the dispute is not resolved within sixty (60) days, you and CODESTORM agree that any claim, dispute, or controversy arising out of or in connection with this Covenant or the Services (collectively, "Claims") shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for binding arbitration in accordance with the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English. The award of the arbitrator shall be final and binding on both parties.
8.4. Class Action Waiver:
YOU AND CODESTORM AGREE THAT ANY CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
Chapter 9: General Provisions
9.1. Entire Agreement:
This Covenant (including our Privacy Policy and any other documents incorporated by reference) constitutes the entire and final agreement between you and CODESTORM regarding your use of the Services and supersedes all prior oral or written agreements between you and CODESTORM on the subject matter.
9.2. Severability:
If any provision of this Covenant is held by a court or arbitrator of competent jurisdiction to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Covenant will remain in full force and effect.
9.3. No Waiver:
The failure of CODESTORM to exercise or enforce any right or provision of this Covenant will not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of CODESTORM to be effective.
9.4. Assignment:
You may not assign or transfer any of your rights or obligations under this Covenant without the prior written consent of CODESTORM. CODESTORM may freely assign or transfer any or all of its rights and obligations under this Covenant, in its sole discretion, without notice to you or your consent.
9.5. Force Majeure:
CODESTORM shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond our reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
